Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of our website, services, tools, software integrations, and infrastructure deployments (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our platform.

1. Definitions

  • "ODIV," "we," "our," or "us" refers to ODIV Automation Services, based in India.
  • "Client," "you," or "your" refers to any user, business, or organization engaging with our Services.
  • "Services" includes AI automation setup, integration of large language models (LLMs), no-code/low-code workflow configuration, cloud infrastructure provisioning (GCP, AWS), and account-based billing orchestration.
  • "Third-party Providers" include, but are not limited to: Google Cloud Platform (GCP), Amazon Web Services (AWS), OpenRouter, OpenAI, Anthropic, Mistral, Hugging Face, Make.com, Zapier, and other AI SaaS platforms.

2. Scope of Services

ODIV delivers AI-powered automation services through integrations with cloud APIs, third-party LLMs, and SaaS-based tools. Our solutions may involve:

  • Setting up cloud infrastructure accounts (e.g., GCP/AWS)
  • Registering and configuring LLM accounts on behalf of the client (e.g., OpenRouter, OpenAI)
  • Deploying private or public AI workflows tailored to client needs
  • Connecting the client's own payment method to their respective cloud or LLM accounts for auto-scaling and transparent billing
  • Managing monthly usage within predefined limits or alerting the client in case of abnormal cost patterns

3. Infrastructure and Billing

  • Client-Owned Billing: Clients may be required to add their credit card or payment credentials to platforms such as GCP, AWS, or OpenRouter during onboarding. This ensures that infrastructure costs are billed directly to the client, offering full control and scalability.
  • Transparent Usage: ODIV may configure alerts or usage dashboards, but does not act as a billing intermediary unless explicitly agreed in writing.
  • Monthly Reviews: Clients are encouraged to review their monthly usage and billing with their respective cloud or LLM provider.

4. Client Responsibilities

By using our services, you agree:

  • To provide accurate business information for onboarding
  • To ensure timely payments to external providers where accounts are connected
  • To comply with local laws related to data processing and customer communication
  • To notify ODIV if you believe your credentials or API keys are compromised

5. Intellectual Property

  • All automation workflows, templates, and custom code developed by ODIV are our intellectual property unless explicitly transferred via contract.
  • Client business data, content, or datasets remain the sole property of the client.

6. Confidentiality & NDAs

  • ODIV maintains strict confidentiality of all client data and access tokens.
  • Non-Disclosure Agreements (NDAs) are available and can be signed on request.
  • Any credentials shared with ODIV will be used solely for configuration and service delivery.

7. Third-Party Dependencies

  • ODIV is not responsible for service outages, data breaches, or pricing policy changes made by third-party platforms such as OpenAI, AWS, or Google.
  • By using our services, you acknowledge the risks and service-level limitations of external APIs and cloud services.

8. Limitation of Liability

To the maximum extent permitted by law, ODIV shall not be liable for:

  • Downtime or disruption caused by third-party providers
  • Indirect, incidental, or consequential damages
  • Costs arising from excessive cloud usage if client-side billing thresholds are not respected

9. Termination

We reserve the right to suspend or terminate service in the following cases:

  • Misuse of LLMs or AI infrastructure
  • Failure to make payments to third-party providers
  • Violation of these Terms or applicable laws

10. Meta and Messaging Platform Compliance

If using ODIV solutions for platforms like WhatsApp Business Cloud API or Meta integrations:

  • You must secure opt-in consent from message recipients
  • You are responsible for complying with Meta's Business and Developer policies
  • ODIV acts only as an implementation partner and not as a messaging service provider

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be resolved in the courts of Bhubaneswar, Odisha.
